1. INTRODUCTION

Harley Studio Pty Ltd ABN 24 688 789 184 ("Harley," "Harley Meets," "we," "our," or "us") operates a technology platform that connects people through sports and social events. This Payment Policy explains how payments are collected, processed, held, and distributed on the Harley platform.

1.1 About This Policy

This Payment Policy applies to all payment transactions conducted through the Harley mobile application, website, and related services (collectively, the "Platform" or "Service"). This Policy works together with our Terms of Service, Privacy Policy, Community Standards, and Cancellation and Refund Policy to provide a secure, transparent, and fair payment system.

This Policy covers:

  • How payments are collected and processed
  • Payment holding and verification procedures
  • Payment release timelines for Hosts
  • Fee structures and charges
  • Tax obligations and reporting requirements
  • Payment data security and privacy
  • Payment-related intellectual property protections
  • Regulatory compliance and licensing

This Policy does NOT cover:

  • Cancellation rules and refund procedures (see our Cancellation and Refund Policy)
  • Payment dispute resolution (see our Cancellation and Refund Policy)
  • General platform terms and conditions (see our Terms of Service)

Please read this Payment Policy carefully. By using Harley's payment services, you acknowledge that you have read, understood, and agree to be bound by all terms of this Policy, our Terms of Service, Privacy Policy, and Cancellation and Refund Policy.

This Payment Policy is governed by the laws of the State of Victoria, Australia, and complies with Australian payment services regulations, the Payment Services Directive 2 (PSD2) for European users, and other applicable payment and consumer protection laws globally.

1.2 Definitions

"Host" means a Member who creates and manages events on the Platform.

"Member" means any person who has registered for an account on the Platform.

"Payment Processor" means our third-party licensed payment service providers, including Stripe and other authorised payment processors.

"Payment Services" means all payment processing, holding, and disbursement functions facilitated through the Platform.

"Player" means any Member who registers for and pays to attend an event on the Platform.

"Platform" means the Harley mobile application, website, and all related services.

"Confirmed Players" means registered participants who were not granted refunds prior to the event.

"Event Completion" means the successful occurrence of an event as scheduled and described in the event listing.

"Verification Period" means the time period required to confirm Event Completion before releasing payment to Hosts.

2. HARLEY'S ROLE IN PAYMENTS

2.1 Technology Platform, Not a Financial Institution

Harley operates as a technology platform that connects Players with Hosts and facilitates payments between them. We are not a bank, payment institution, financial services provider, or money services business.

Our Limited Role:

  • Technology platform provider connecting users
  • Payment facilitator coordinating payment processing
  • Merchant of record for initial transactions
  • Coordinator of payment timing and release instructions to Payment Processors

What We Do NOT Do:

  • Hold or custody funds in Harley-operated bank accounts
  • Provide regulated financial or payment services
  • Act as a financial intermediary in the regulatory sense
  • Guarantee event occurrence or Host performance beyond the protections outlined in our policies

2.2 Payment Processors

Payment services are provided by Stripe and other licensed payment processors. Funds are held in segregated accounts maintained by payment processors until released according to this Policy.

Harley's Role:

Harley coordinates payment timing by verifying Event Completion, providing payment release instructions to payment processors, enforcing payment policies, and managing transaction records.

3. PAYMENT PROCESSING STRUCTURE

3.1 How Our Payment System Works

Payment Flow Overview:

When a Player registers for an event, payment flows through the following process:

Step 1: Payment Collection

Player submits payment → Payment Processor collects and encrypts payment information → Immediate confirmation sent to Player and Host

Step 2: Payment Holding

Payment Processor holds funds in segregated merchant account → Funds remain separate from Harley's operational accounts → Funds held in trust for Hosts pending Event Completion

Step 3: Event Occurrence and Verification

Event takes place as scheduled → Verification Period begins → Platform verifies Event Completion through review-based or time-based criteria

Step 4: Payment Release

Verification completed → Harley instructs Payment Processor to release payment → Fees deducted → Payment transferred to Host's designated account

3.2 For Players - Payment and Protection

When You Register:

Your payment is collected immediately through our secure payment processor and held in a segregated merchant account until Event Completion is verified. You receive instant confirmation via email and in-app notification.

Payment Holding:

Funds remain in segregated accounts maintained by payment processors (not Harley accounts) until the Host's event is verified as completed. This ensures:

  • Refunds are available if events are cancelled or don't occur
  • You're protected from fake events or fraud
  • Consumer protection requirements are met

Payment Methods:

We accept credit/debit cards (Visa, Mastercard, American Express), Apple Pay, and Google Pay.

3.3 For Hosts - Payment Receipt

Payment Release Requirements:

You receive payments only after all of the following conditions are satisfied:

  1. Your event successfully occurs as scheduled and described in the event listing
  2. Event Completion is verified according to our verification criteria (Section 3.4)
  3. The Verification Period passes without valid complaints or refund requests related to event non-occurrence
  4. All applicable platform fees, processing charges, and deductions are calculated

Important: You do not receive payment simply because an event date passes. Payment is contingent upon verified Event Completion.

3.4 Event Completion Verification Process

Events are verified as completed when either of the following occurs:

Option A: Review-Based Verification

  • Sufficient post-event reviews are submitted by Confirmed Players through the Platform's official review system
  • Review requirements vary based on event size to ensure authentic verification

Option B: Time-Based Verification

  • 7 calendar days pass after the scheduled event date with no complaints or refund requests related to event non-occurrence

Important Notes:

  • "Confirmed Players" means registered participants who were not granted refunds prior to the event
  • Verification is automatic when criteria are met
  • Manual verification may be conducted for disputed events
  • Verification does not guarantee payment if valid refund requests or disputes are filed

Example: Event on Saturday. If sufficient reviews are received by Monday, verification may complete Monday. If insufficient reviews are received, verification completes automatically 7 days after the event.

3.5 Payment Schedule and Timelines

Processing Day:

Payments are processed every Thursday following Event Completion verification.

Payment Timeline by Host Type:

  • New Host (fewer than 50 events in last 12 months): 7 days after verification
  • Trusted Host (50+ events in last 12 months): 3 days after verification

Your Host Type is automatically determined by counting completed events from the past 12 months. Both individual and club events count toward the threshold. You'll receive notification when you achieve Trusted Host status.

Payment Timeline Calculation:

Event occurs → Verification completed → Payment timeline begins → Next Thursday on or after timeline ends → Payment transferred to your bank account

Example (Trusted Host):

  • Event: Saturday, 15 Jan
  • Verification: Monday, 17 Jan (sufficient reviews received)
  • 3 days from verification: Thursday, 20 Jan
  • Next Thursday: Thursday, 20 Jan → Payment transferred

Fee Deduction:

Platform service fees, payment processing fees, and any penalties are automatically deducted before transfer. Your payment dashboard shows net amount before payment.

Payment Destination:

Payments transfer to your registered bank account. You must keep payment information current. Contact support@harleymeets.com if transfers fail.

Fee Deduction:

Before payment is released to you, the following are automatically deducted:

  • Platform service fees (percentage based on your subscription tier)
  • Payment processing fees charged by Payment Processors
  • Any applicable penalties (late cancellation fees, chargeback fees)
  • Withholdings for refunds or disputes related to your events
  • Any other amounts owed to Harley under our Terms of Service

Your payment dashboard clearly displays gross payment amount, all deductions, and net payment amount before transfer.

Payment Destination:

Payments are transferred to the bank account or payment method you have registered and verified in your Host account settings. You are responsible for:

  • Providing accurate bank account information
  • Maintaining current and valid payment destination details
  • Notifying us immediately of any changes to your banking information
  • Ensuring your bank account can receive electronic transfers

Failed Payment Transfers:

If payment transfer to your designated account fails:

  • We will notify you immediately via email and Platform notification
  • You must update your payment information within 14 days
  • Failed transfer fees ($5.00 AUD per failed attempt) may apply
  • Payments will be held until valid payment information is provided
  • After 30 days, payments may be returned to Players as refunds if you do not update information

3.6 Why We Hold Payments

The payment holding and verification system protects all parties:

  • Fraud Prevention: Protects against fake events and ensures events actually occur before payment
  • Refund Guarantee: Ensures funds remain available if events are cancelled or do not occur
  • Consumer Protection: Provides time to raise legitimate concerns about event issues
  • Chargeback Protection: Reduces risk of illegitimate chargebacks after successful events
  • Platform Trust: Maintains confidence in the payment system for all users
  • Regulatory Compliance: Meets consumer protection and anti-money laundering requirements

4. PAYMENT SERVICES REGULATORY COMPLIANCE

4.1 Licensed Payment Processing

All payment services are provided by licensed third-party payment processors who maintain required regulatory authorisations and comply with payment industry standards, including PCI-DSS Level 1 compliance for payment card security.

4.2 Segregated Merchant Accounts

Player payments are held in segregated merchant accounts maintained by payment processors, separate from Harley's operational funds. These accounts are subject to regulatory oversight and consumer protection requirements.

In the event of Harley's insolvency, customer funds in segregated accounts are protected from Harley's creditors and held in trust for Players and Hosts.

4.3 Consumer Protections

Your payments benefit from multiple layers of protection including payment processor guarantees, applicable payment services regulations, credit card chargeback rights, and Australian Consumer Law protections.

4.4 Harley's Limited Role

Harley provides technology platform services and coordinates payment timing. We do not provide regulated payment services, hold customer funds, or act as a financial institution.

5. FEES AND CHARGES

5.1 Subscription Plans and Pricing

Host Subscription Plans:

Harley offers multiple subscription tiers for Hosts with different features and event allowances. Current subscription plans, pricing, features, and terms are available within the Platform's subscription section.

Payment Processing Fees:

Transaction processing fees apply to all payments and are charged by our payment processors. Current processing fee rates are displayed during checkout. Processing fees are deducted from the Host's payment, not added to the Player's cost.

Event Creation Fees:

Fees may apply when creating events, depending on your subscription tier and monthly event allowance. Current rates and allowances are available at harleymeets.com/pricing.

International Transactions:

For international transactions, your bank or card issuer may charge additional currency conversion or international transaction fees. These fees are charged by your financial institution, not by Harley, and will appear on your bank or credit card statement. Contact your bank for information about their international transaction fees.

Fee Deductions:

All applicable fees (processing fees, platform fees, penalties) are automatically deducted before payment is released to Hosts. Your payment dashboard clearly displays gross payment amount, all deductions, and net payment amount before transfer.

Player Fees:

Players pay the event registration price set by the Host. The price displayed during event registration is the final price. A cancellation processing fee may apply as outlined in our Cancellation and Refund Policy. No other platform fees are charged to Players.

5.2 Billing and Payment Terms

Subscription Billing:

  • Subscriptions billed monthly or annually depending on plan selected
  • First payment processed immediately upon subscription
  • Subsequent payments automatically charged to payment method on file
  • Annual subscriptions available at discounted rates

Plan Changes:

  • Upgrades: Take effect immediately with pro-rated credit for unused time on current plan
  • Downgrades: Take effect at next billing date; no refund for unused time on current plan
  • Cancellations: Access continues until end of current billing period; no refund for partial periods

Free Trials:

  • New Hosts may receive free trial periods as advertised
  • Payment method required; no charge during trial
  • Auto-converts to paid plan unless cancelled before trial ends
  • One free trial per user

Payment Methods:

We accept credit cards, debit cards, Apple Pay, Google Pay, and other payment methods made available through our payment processors.

Subscription Fees Are Non-Refundable:

Subscription fees are charged in advance and non-refundable, except where required by applicable consumer protection laws.

5.3 Additional Service Charges

Special Circumstances Fees:

Administrative Support Fee: $25.00 AUD

Charged when complex situations require significant manual intervention by Harley support staff, including:

  • Investigating and resolving complex payment disputes
  • Coordinating special refund scenarios with payment processors
  • Manual review and processing of flagged transactions

Fee applies to the party responsible for creating the additional work (Host or Player, depending on circumstances).

Chargeback Fee: $25.00 AUD per chargeback

Charged to Hosts when a Player files a chargeback with their credit card company, regardless of outcome. Covers administrative costs and Payment Processor fees. Deducted from Host's next payment or charged to payment method on file.

Failed Payment Retry Fee: $5.00 AUD per failed attempt

Applies only to recurring subscription payments (monthly or annual Host subscriptions). When your subscription payment fails due to expired cards, declined payments, or insufficient funds, our payment processor automatically retries the payment. Each retry attempt incurs a fee.

This fee does NOT apply to one-time event payments - if an event payment fails, the transaction simply does not complete and no retry is attempted.

Expedited Payment Processing Fee: $15.00 AUD

Available only in limited circumstances at Harley's sole discretion for documented emergency situations. Must be requested and approved by Harley support team.

5.4 Fee Modifications and Notifications

Changes to Fees:

We may modify fees with appropriate advance notice:

Material Fee Increases:

  • Minimum 30 days' advance notice via email and Platform notification
  • Clear explanation of changes and effective date
  • Opportunity to cancel subscription before increase takes effect

Minor Adjustments:

  • Minimum 14 days' advance notice for adjustments under 2% or $2.00 AUD
  • Notification via Platform announcement and email

Fee Reductions:

  • May be implemented immediately without advance notice

Your Options:

If you disagree with fee increases, you may cancel your subscription or cease using the Platform before the increase takes effect. Continued use after the effective date constitutes acceptance of the new fee structure.

5.5 Fee Transparency and Disclosure

All applicable fees are clearly displayed and disclosed:

During Event Creation (Hosts):

  • Platform service fee percentage for your subscription tier
  • Payment processing fee estimates
  • Net payment amount you will receive after all fees

During Event Registration (Players):

  • Total registration price (final amount you will pay)
  • Cancellation fee that applies if you cancel with advance notice (see Cancellation and Refund Policy)

In Payment Confirmations:

  • Itemised breakdown of all charges and fees
  • Gross payment amount, processing fees, service fees, and net amount
  • Transaction date, event details, and payment method used

In Host Payment Dashboard:

  • Real-time view of pending and completed payments
  • Detailed fee breakdowns for each transaction
  • Expected payment dates based on your Host tier
  • Historical payment records and downloadable statements

6. TAX OBLIGATIONS

6.1 Your Tax Responsibility

You are solely responsible for determining and fulfilling all tax obligations related to your use of the Platform, including any taxes on earnings received as a Host or payments made as a Player.

Harley does not provide tax advice. The information in this section is general guidance only. We strongly recommend consulting a qualified tax professional (registered tax agent, accountant, or tax lawyer) regarding your specific tax obligations.

Harley Does Not Withhold Taxes:

Harley does not withhold income tax, GST/VAT, or other taxes on your behalf (except where legally required, such as backup withholding in certain jurisdictions). You are responsible for calculating and paying all applicable taxes.

6.2 Transaction Records

We provide annual earnings summaries and transaction history in your account dashboard to assist with tax reporting.

6.3 Tax Reporting by Harley

We may be legally required to report your earnings to tax authorities in certain circumstances, including:

  • Australia: ATO reporting for Hosts meeting reporting thresholds
  • United States: IRS Form 1099-K for US Hosts meeting thresholds
  • European Union: DAC7 reporting for EU Hosts meeting thresholds
  • Other jurisdictions as required by law

We will notify you if reporting requirements apply to you.

6.4 Tax Information Requests

We may request tax identification information (TFN, ABN, SSN, EIN, VAT number, etc.) to comply with reporting obligations. You must provide requested information within 30 days. Failure may result in payment holds or account restrictions.

7. PAYMENT DATA SECURITY AND PRIVACY

7.1 Security Protections

Your payment information is protected through industry-standard security measures implemented by Harley and our Payment Processors, including:

  • Encryption of all payment data during transmission and storage
  • PCI-DSS compliant payment processing systems
  • Tokenisation of payment credentials to prevent unauthorised access
  • Fraud monitoring and detection systems
  • Secure authentication protocols for all transactions

7.2 Payment Data Storage

Information Harley Does NOT Store:

Harley never stores or has access to:

  • Complete credit card numbers (we retain only the last 4 digits for transaction identification)
  • Card security codes (CVV/CVC)
  • Card PINs or passwords
  • Bank account credentials
  • Unencrypted payment information

Information Harley May Store:

For transaction processing and account management purposes, we may store:

  • Last 4 digits of payment cards
  • Payment method type (Visa, Mastercard, Apple Pay, etc.)
  • Card expiry dates for payment method management
  • Billing addresses for verification purposes
  • Transaction history and metadata
  • Encrypted payment tokens provided by Payment Processors

Payment Processor Storage:

Full payment credentials are securely stored only by our PCI-DSS compliant Payment Processors (including Stripe). These processors maintain the highest level of payment security certification and are subject to strict regulatory oversight and security auditing.

7.3 Secure Payment Methods

All payment methods available on the Platform use secure processing:

Apple Pay and Google Pay:

  • Device-specific tokenisation and biometric authentication
  • Payment credentials never shared with Harley
  • Dynamic security codes that change with each transaction

Credit and Debit Cards:

  • PCI-DSS compliant processing through licensed Payment Processors
  • 3D Secure authentication (Verified by Visa, Mastercard SecureCode) where available
  • Fraud detection and chargeback protection
  • Encrypted transmission and secure tokenisation

All payment methods benefit from Payment Processor fraud protection, dispute resolution processes, and security guarantees provided by licensed payment service providers.

7.4 Your Security Responsibilities

You are responsible for maintaining the security of your Harley account and payment information:

Account Security:

  • Use strong, unique passwords for your account
  • Enable two-factor authentication where available
  • Never share your account credentials with others
  • Log out from shared or public devices
  • Review your account activity regularly for unauthorised transactions

Payment Security:

  • Keep your payment methods up to date
  • Monitor your payment card and bank statements for unauthorised charges
  • Report lost or stolen payment cards immediately to your card issuer
  • Use secure internet connections for transactions (avoid public WiFi)
  • Only download the Harley app from official app stores (Apple App Store, Google Play)

Report Security Concerns Immediately:

Contact us immediately if you notice:

  • Unauthorised account access or suspicious login attempts
  • Unexpected transactions or charges
  • Lost or stolen devices with an active Harley session
  • Suspected phishing attempts or fraudulent communications claiming to be from Harley

7.5 Payment Processor Security

Payment processing services are provided by licensed Payment Processors, including Stripe, who maintain comprehensive security programmes independently certified to industry standards.

Payment Processor Security Features:

  • PCI-DSS Level 1 Service Provider certification
  • Regular independent security audits
  • Advanced fraud detection systems
  • Secure APIs and encryption standards
  • Dedicated security teams and incident response capabilities

Your Relationship with Payment Processors:

When you provide payment information through the Platform, you establish a direct relationship with our Payment Processors. Your payment data is subject to the Payment Processor's terms of service, privacy policy, security measures, and applicable payment services regulations.

7.6 Privacy and Data Protection

Our Privacy Commitments:

We collect and use payment information only for:

  • Processing transactions and payments
  • Fraud prevention and platform security
  • Compliance with legal and regulatory obligations
  • Providing customer support
  • Improving Platform services using aggregated, anonymised data

We do NOT:

  • Sell your payment information to third parties
  • Use your payment data for advertising or marketing without consent
  • Share your payment credentials with Organisers (only transaction details are shared)
  • Process your payment information for purposes unrelated to Platform services

Your Privacy Rights:

You have rights regarding your personal and payment information, including rights to access, correct, delete, and port your data. These rights are subject to applicable privacy laws including the Australian Privacy Act 1988, GDPR, CCPA, and other relevant legislation.

7.7 Security Incidents and Data Breaches

Our Response to Security Incidents:

If a security incident occurs that affects your payment information or personal data, Harley will:

  1. Immediately activate incident response protocols to contain and remediate the breach
  2. Assess the scope, impact, and affected data
  3. Coordinate with Payment Processors to protect your payment information
  4. Implement additional security measures to prevent recurrence

Notification Obligations:

We will notify affected users and relevant authorities as required by applicable law, including:

  • Australian users: Notification to the Office of the Australian Information Commissioner (OAIC) and affected individuals as required under the Privacy Act 1988 and Notifiable Data Breaches scheme
  • EU users: Notification to relevant Data Protection Authorities and affected individuals as required under GDPR
  • Other jurisdictions: Compliance with applicable data breach notification laws

Information and Support:

In the event of a security incident affecting your data, we will provide:

  • Details about the nature and scope of the breach
  • Types of information potentially compromised
  • Recommended protective actions (such as payment card replacement or password changes)
  • Ongoing updates about investigation progress and remediation efforts
  • Access to support resources and assistance

Payment Processor Incidents:

If a security incident occurs at our Payment Processor level, the Payment Processor handles primary breach response and notification obligations. Harley coordinates with the Payment Processor for user communication and support, and provides additional assistance as needed.

10. GOVERNING LAW AND POLICY UPDATES

10.1 Governing Law and Jurisdiction

This Payment Policy is governed by the laws of Victoria, Australia.

Dispute Resolution:

Disputes related to payments will be resolved in the courts of Victoria, Australia, except where consumer protection laws require disputes to be heard in your place of residence. Nothing in this Policy removes or limits your rights under Australian Consumer Law or other consumer protection legislation that cannot be lawfully excluded.

Before Court:

We encourage users to contact us first to resolve disputes. Australian users may also contact the Australian Financial Complaints Authority (AFCA). Users in other jurisdictions may access local consumer protection or financial ombudsman services.

10.2 Policy Updates

Changes to This Policy:

We may update this Policy from time to time to reflect changes in laws, payment features, or business requirements.

Material Changes:

For significant changes affecting your rights or obligations, we will provide at least 30 days' advance notice via email and Platform notification. Continued use of Payment Services after changes take effect means you accept the updated Policy.

Minor Changes:

For clarifications, corrections, or non-material updates, we will update the "Last Updated" date and notify users via the Platform. These changes take effect immediately.

Your Options:

If you disagree with changes, you may stop using Payment Services before the changes take effect. Previous versions of this Policy are available on request.

10.3 Other Terms

Related Policies:

This Policy works with our Terms of Service and Privacy Policy. For payment matters, this Policy takes priority. For general platform issues, our Terms of Service takes priority.

Severability:

If any provision of this Policy is found invalid or unenforceable, that provision will be removed and all other provisions remain in full force and effect.

Language:

This Policy is written in English. If translated, the English version controls in case of conflicts.


ACCEPTANCE

By using the Harley Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, Cookie Policy, Community Standards, Payment Policy, Cancellation and Refund Policy, and where applicable, our Release Waiver.

This Payment Policy is effective as of the Last Updated date shown above and applies to all users of the Harley Platform.
